EZY GROWTH SOLUTIONS provides AI-powered business automation solutions, including but not limited to:

• AI Receptionist: 24/7 automated phone answering, appointment booking, call routing, and customer service automation
• AI Chatbot: Website chat automation, lead capture, customer engagement, and multi-platform messaging
• AI Website: Custom website design and development with AI-generated content, SEO optimization, and performance enhancement

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice to active subscribers.

To access certain Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Immediately notify us of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

You must be at least 18 years old to create an account and use our Services. We reserve the right to suspend or terminate accounts that violate these Terms.

3.1 Fees and Charges

You agree to pay all fees associated with your selected service package. All fees are quoted in South African Rand (ZAR) unless otherwise specified. Pricing is available on our pricing page and may be updated periodically.

3.2 Subscription Services

• Monthly subscriptions automatically renew on the same day each month
• Payment will be charged to your designated payment method
• You must update your payment information if it changes or expires
• Services may be suspended if payment fails

3.3 Refunds and Cancellations

• Monthly subscriptions can be canceled at any time
• Cancellations take effect at the end of the current billing period
• No partial refunds for unused portions of monthly subscriptions
• One-time website fees are non-refundable once work has commenced
• Special promotional offers may have different terms as specified at purchase

You agree NOT to use our Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit harmful, fraudulent, deceptive, or illegal content
• Harass, abuse, threaten, or intimidate others
• Spam, send unsolicited messages, or engage in phishing
• Distribute viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble our software or AI models
• Use our Services for any illegal or unauthorized purpose

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

5.1 Our Intellectual Property

All content, features, functionality, and technology of our Services, including but not limited to text, graphics, logos, software, AI models, and algorithms, are owned by EZY GROWTH SOLUTIONS or our licensors and are protected by copyright, trademark, and other intellectual property laws.

5.2 Your Content and Data

You retain ownership of any content, data, or information you provide to our Services ("Your Content"). By using our Services, you grant us a limited, non-exclusive license to use, store, process, and display Your Content solely for the purpose of providing and improving our Services.

5.3 AI-Generated Content

For AI Website services, you own the final delivered website and its content. For AI Receptionist and AI Chatbot services, you own the conversation data and transcripts. We may use anonymized, aggregated data for improving our AI models and services.

We strive to provide reliable, high-quality Services, including:

• 99.9% uptime for AI Receptionist and AI Chatbot services (excluding scheduled maintenance)
• 24/7 automated service operation
• Regular system updates and improvements

However, we do not guarantee uninterrupted or error-free service. We may temporarily suspend Services for maintenance, upgrades, or emergency repairs with reasonable notice when possible.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• EZY GROWTH SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR ANY LOSS OF DATA, PROFITS, BUSINESS, OR OPPORTUNITIES
• WE ARE NOT RESPONSIBLE FOR THIRD-PARTY SERVICES OR INTEGRATIONS

This limitation applies even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain liability exclusions, so some of the above may not apply to you.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED RESPONSES
• NON-INFRINGEMENT OR ERROR-FREE OPERATION
• THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICE IS VIRUS-FREE

AI systems may occasionally produce inaccurate or inappropriate responses. You are responsible for reviewing and monitoring AI interactions with your customers.

You agree to indemnify, defend, and hold harmless EZY GROWTH SOLUTIONS, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content or data provided to our Services

Either party may terminate these Terms:

• By You: Cancel your subscription at any time through your account settings or by contacting us
• By Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay fees

Upon termination, your right to use our Services will immediately cease. We may delete your data after a reasonable retention period unless required by law to retain it. You remain responsible for all fees incurred prior to termination.

These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our Services shall be resolved through:

• Informal Resolution: First, contact us to attempt to resolve the dispute informally
• Mediation: If informal resolution fails, disputes may be submitted to mediation
• Arbitration/Court: Unresolved disputes shall be subject to the exclusive jurisdiction of the courts of South Africa

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Services, you consent to our Privacy Policy and agree to comply with the Protection of Personal Information Act (POPIA) and other applicable data protection laws.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
